Transaction highlights
- Placement of 342,348 new shares at an offer price of €82.65 per share, representing a 5% discount vis-à-vis the closing price prior to launch
- The transaction generated gross proceeds of approximately €28.3m, representing 10% of the company’s pre-deal outstanding share capital
- The new shares were placed with both existing shareholders as well as new institutional investors across Europe
- Shortly prior to launching its first fundraising post IPO (October 2020), Compleo announced having entered into an agreement to acquire 100% of the shares in wallbe GmbH which markets AC charging solutions for the private, commercial and public sectors
- This capital increase shall enable Compleo to continue pursuing its growth strategy, which, in addition to organic growth, also envisages further targeted M&A measures
Company description
- Compleo is a leading supplier of charging solutions for electric vehicles, listed on the Prime Standard segment of the Frankfurt Stock Exchange since October 2020. The company realised a revenue growth in 2020 of +118% year-on-year
- The company supports complete solution providers with its charging stations and, if required, also with the planning, installation, maintenance, service or backend of the charging infrastructure
- Compleo’s offering includes both AC and DC charging stations and its DC charging stations are the first DC charging stations on the market that comply with German calibration law (Eichrecht)
- The company’s customers include Allego, E.ON, EWE Go, Deutsche Post DHL Group, Deutsche Telekom, Siemens and over 150 public utilities in Germany
- On 26 March 2021, Compleo entered into an agreement to acquire 100% of the shares in wallbe GmbH, which markets AC and DC charging solutions for the private, commercial and public sectors, for a preliminary purchase price of €34.8m. Compleo expects the transaction to be completed by the end of April 2021
